Terms of Service
1. Who these terms are between
These terms are an agreement between Assign Over, a sole proprietorship firm owned by Kamakshya Prasad Nayak, of 58/90, Gangotree Nagar, Sishupalgarh, Bhubaneswar, Odisha 751002, India ("we", "us"), and the business that connects an account to one of our automation tools ("you", "the Client").
By connecting an account, you accept these terms. If you are accepting on behalf of a business, you confirm you are authorised to do so.
2. The services
We provide automation tools listed on this site. Each tool reads an account you connect, produces reports and drafts, and publishes only what you approve. Tool-specific behaviour is described on that tool's own page — for GBP Automation, see GBP Automation.
3. Your eligibility and responsibilities
You confirm that:
- You own, or are formally authorised to manage, every account you connect.
- The information you give us is accurate.
- You will keep your accounts secure. We never ask for your passwords, and you must never share them with us or anyone else.
- You will not use our tools to publish content that is unlawful, misleading, defamatory, or in breach of the connected platform's policies.
4. Approval, and who is responsible for published content
Our tools are delivered in approval-first mode. Drafts are produced and held; nothing is published until a person approves it.
You may switch on automatic publishing. If you do:
- You remain responsible for everything published to your accounts, whether a person approved that specific item or not.
- Safety checks still apply. In GBP Automation, low ratings, negative sentiment, and reviews mentioning legal, safety or refund matters are always held for a human.
- You can switch automation off again at any time.
Drafts are generated by an automated system using a large language model. You should read a draft before approving it. We do not warrant that a draft is accurate, appropriate or suitable for publication.
5. What we do on your behalf, and how we tell you
We will notify you within 48 hours of any change made to a connected account through our tools. The report and digest emails we send serve this purpose.
6. Fees
Fees, billing frequency and payment terms are as agreed between us in writing before the service begins. Unless agreed otherwise, fees are exclusive of applicable taxes, including GST.
7. Your data
How we handle personal data is described in our Privacy Policy, which forms part of these terms.
You keep ownership of your business data. We claim no rights over your accounts, your reviews or your published content.
8. Platform terms also apply
Each connected account is governed by your agreement with that platform. Nothing here changes that. Where a platform's policies and these terms conflict, the platform's policies govern your account.
Assign Over is an independent developer. Our tools are not created, endorsed, sponsored or certified by Google or by any other platform we connect to.
9. Availability
We aim to keep our tools running but do not guarantee uninterrupted availability. They depend on third-party APIs, which those providers may change, restrict or withdraw. If access is withdrawn or limited, the affected features may stop working, and we may have to suspend or end the service.
10. No guarantee of results
We do not promise any particular outcome — no ranking improvement, and no increase in calls, views, bookings or revenue. Any score we publish is our own assessment tool, not a platform metric, and is neither recognised nor endorsed by the platform.
11. Ending the agreement
You may stop at any time by revoking access at the platform — for Google, at Google Account → Third-party apps & services — or by emailing support@assignover.in.
When the relationship ends, we will disconnect your accounts, revoke our tokens and delete your stored data within seven business days, and confirm in writing. You retain full control of your accounts throughout — we never hold them hostage, and we never require you to go through us to regain access.
We may suspend or end the service if you breach these terms, if required by a platform or by law, or if we stop offering the tool. Where we end it for our own convenience, we will give you reasonable notice.
12. Liability
To the extent permitted by law, we are not liable for indirect or consequential loss, including lost profits, lost bookings, lost goodwill or reputational harm arising from content published through our tools.
Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose, or ₹10,000, whichever is greater.
Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Indemnity
You will indemnify us against claims arising from content you approved for publication, or from your use of our tools in breach of these terms or of a platform's policies.
14. Changes to these terms
We may update these terms. Where a change materially affects you, we will email you before it takes effect. Continuing to use the service after that constitutes acceptance.
15. Governing law
These terms are governed by the laws of India. The courts at Bhubaneswar, Odisha have exclusive jurisdiction.
